1. Franchise relationship

Wellroot Trading grants selected applicants a limited, non-exclusive right to distribute authorized WellRoot mushroom products within an approved local area, subject to a signed franchise agreement.

The website application is an expression of interest only. No franchise rights arise until Wellroot Trading approves your application, receives applicable fees, and issues franchise documentation.

2. Fees, deposit, and refunds

Franchise fee, security deposit, and other charges will be communicated during approval and set out in your franchise agreement.

Unless otherwise stated in writing, the initial franchise agreement period is one (1) year. Discontinuation after that period may be handled as per the signed agreement, including license revocation and deposit settlement where applicable.

3. Termination for violation

Wellroot Trading may suspend or terminate the franchise agreement immediately if a franchise partner breaches these terms, the signed franchise agreement, operating standards, or applicable law.

Upon termination for violation, misconduct, fraud, unauthorized activity, or material breach, the franchise license may be cancelled without prior notice where reasonably required to protect the brand, customers, or supply chain.

If the agreement is cancelled due to violation, any security deposit or other amounts paid may not be refunded, whether in full or in part. Refund eligibility, if any, shall be decided solely by Wellroot Trading management based on the facts of each case, including the nature and severity of the breach, losses caused, and compliance history.

No franchise partner shall have an automatic right to a full or partial deposit refund after termination for cause.

4. Authorized products only

Franchise partners may sell, promote, store, or distribute only products and services expressly authorized by Wellroot Trading under the WellRoot brand and supply policy.

Franchise partners shall not sell, display, promote, or distribute products of any other company, brand, or supplier using the WellRoot franchise, franchise identity, approved territory, customer base, or goodwill developed through the program.

This includes competing mushroom products, substitute food items, unrelated consumer goods, or any third-party business activity presented under or alongside the WellRoot franchise.

5. Equipment, marketing material, and online shop

Equipment, freezers, packaging, signage, training material, marketing assets, order systems, websites, online shop access, marketplace listings, and digital accounts provided or approved by Wellroot Trading are for authorized WellRoot operations only.

Franchise partners shall not use Wellroot Trading equipment, marketing material, branded assets, customer data, order platform, online shop, stock-management website, or related digital tools to sell, promote, manage, or support any other products or services.

Unauthorized use of brand assets or systems may be treated as a serious breach and may result in immediate termination and forfeiture of deposit, in addition to other remedies.

6. Operating standards

Franchise partners must follow training, hygiene, cold-chain, storage, pricing, billing, and customer-service standards issued by Wellroot Trading.

Partners must not misrepresent product quality, origin, shelf life, pricing, company affiliation, or scientific claims.

Territory, pricing changes, promotions, and customer disputes must be handled as directed by Wellroot Trading.

7. Confidentiality and brand protection

Business methods, pricing, supplier details, customer lists, operational data, and training content shared by Wellroot Trading are confidential.

Franchise partners may not copy, resell, sublicense, or transfer franchise rights, brand assets, or program materials without written approval.

8. Data and communications

Personal and business information submitted during application and operations will be handled as described in our Privacy Policy.

By applying, you consent to verification calls, messages, and emails related to your franchise application and account.

9. Limitation of liability

Wellroot Trading is not liable for indirect, incidental, or consequential losses arising from franchise operations except where liability cannot be excluded under applicable law.

Product supply, market demand, and local business results depend on many factors outside company control. No fixed income is guaranteed.

10. Governing law and disputes

These terms are governed by the laws of India. Courts at Ernakulam, Kerala shall have jurisdiction, subject to mandatory consumer protections where applicable.

Wellroot Trading may update these terms by publishing a revised version on mushroom.wellroot.in. Continued participation after updates constitutes acceptance of the revised terms.
